Version 1.0.0-draft · drafted 2026-08-16

Draft

This is a working draft. It has not been reviewed or approved by a lawyer, and it does not yet name a contracting entity or a governing law. 8 questions in it are still open for legal review, and each one is marked in the text below.

# Terms of Service

> **DRAFT — NOT LEGALLY REVIEWED.**
> This document has not been reviewed or approved by a lawyer. It is a working
> draft prepared from the product's actual behaviour so that counsel has a
> starting point. It is not an offer, and it does not create obligations.
> Every item in **[LEGAL REVIEW REQUIRED]** must be resolved before this is used.

## 1. Who provides this service

**[LEGAL REVIEW REQUIRED — contracting entity]** The legal entity that provides
the service is not yet established. It must be the same entity that receives
payment.

**[LEGAL REVIEW REQUIRED — registered address and legal notice address]**

## 2. What the service does

The service reads advertising data from platforms you connect, stores it, and
presents reporting, analysis and automation tools over it. It can:

- read campaign structure and performance metrics from advertising accounts you
  authorise;
- read products and orders from a commerce store you authorise;
- generate written analysis and recommendations using a third-party AI provider;
- evaluate automation rules you configure.

The service does **not** change anything in your advertising accounts. Automation
actions that would modify a campaign are not enabled.

## 3. Your account and your workspace

A workspace is the unit of access. People you invite become members of your
workspace with a role that determines what they can do. You are responsible for
who you invite and for what they do.

## 4. Platform connections

Connecting an advertising or commerce account grants this service access to read
from it. You can disconnect at any time. Disconnecting deletes our stored access
tokens; it does **not** revoke the authorisation held by the platform — you
should also remove the application in that platform's own settings.

## 5. Dependence on third parties

The service depends on platforms and providers it does not control, including
the advertising platforms you connect and the AI provider that produces
analysis. Their availability, their APIs, their rate limits and their policies
can change or fail, and the service will be affected when they do.

Advertising metrics are restated by platforms after the fact. Figures shown for
recent days will change.

## 6. Your advertising and your content

You are responsible for your advertising, for the claims it makes, and for its
compliance with advertising law and with each platform's own policies. Analysis
and recommendations produced by the service are informational. They are not
advice, and acting on them is your decision.

## 7. Acceptable use

You may not use the service to break the law, to break an advertising platform's
terms, to attempt to reach another customer's data, or to interfere with the
service's operation.

## 8. Subscription, pricing and cancellation

**[LEGAL REVIEW REQUIRED — subscription terms]** Renewal, price changes,
cancellation, refunds and what happens to a price when a customer leaves and
returns. Nothing is charged today; no payment processor is engaged.

## 9. Availability

**[LEGAL REVIEW REQUIRED]** No availability commitment is made in this draft.
Proposing one before the hosting provider is chosen would be inventing a promise.

## 10. Liability, warranties and indemnities

**[LEGAL REVIEW REQUIRED]** This draft states no limitation, no warranty and no
indemnity. Figures and carve-outs are for counsel; a number proposed here would
read as a decision.

## 11. Termination

**[LEGAL REVIEW REQUIRED — termination effects]** What happens to your data when
an account or workspace ends, and over what period. The product can delete a
workspace on request and does so through a staged purge; the contractual window
is undecided.

## 12. Changes to these terms

**[LEGAL REVIEW REQUIRED — acceptance mechanics]** Whether continued use
constitutes acceptance of a new version, and whether existing customers must
re-accept. The product records which version was accepted, by whom, and when.

## 13. Governing law and disputes

**[LEGAL REVIEW REQUIRED — governing law, jurisdiction, dispute resolution]**

## 14. Eligibility

**[LEGAL REVIEW REQUIRED — minimum age; whether the service is business-only]**

## 15. Contact

**[LEGAL REVIEW REQUIRED — legal contact address]**
